ConformityAI is an AI-powered platform that helps organizations automate security compliance questionnaires. The Service uses Retrieval-Augmented Generation (RAG) technology to answer questions based on uploaded documents. The Service is provided "as is" and "as available" without warranties of any kind.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. License and Use Rights

4.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business compliance needs during your subscription period.

4.2 Restrictions

You agree NOT to:

• Reverse engineer, decompile, or disassemble the Service or any part thereof
• Use the Service to build a competing product or service
• Copy, modify, or create derivative works of the Service
• Resell, sublicense, or redistribute the Service without our written permission
• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts

5. User Content and Data

You retain all ownership rights to documents and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to process, store, and use your content solely to provide the Service to you.

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to upload and process the content
• Your content does not violate any laws, regulations, or third-party rights
• Your content does not contain malware, viruses, or harmful code

6. AI-Generated Responses and Liability

Important Disclaimer: The AI-generated answers provided by the Service are for assistance purposes only. While we strive for accuracy, the Service may produce errors, inaccuracies, or incomplete information. You acknowledge that:

• AI-generated responses should be reviewed and verified before use
• You are ultimately responsible for the accuracy of your compliance responses
• We are not liable for any consequences resulting from your use of AI-generated answers
• You should consult with legal or compliance professionals for critical decisions

7. Subscription and Payment

7.1 Subscription Plans

The Service is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, as selected. All fees are non-refundable except as required by law or as explicitly stated in your plan.

7.2 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing cycles.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial billing periods.

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by ConformityAI, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except as explicitly stated herein.

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We are not liable for any loss or damage resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFORMITYAI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ConformityAI, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your account and data in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in San Francisco, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
